1. Acceptance of Terms

By accessing or using the Motivyn platform ("Service"), operated by Motivyn LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including individual enthusiast users and commercial dealer accounts.

2. Description of Service

Motivyn provides automotive market intelligence services, including but not limited to: aggregated auction results, marketplace listing data, price tracking and alerts, market analytics, and community features. The data we provide is sourced from publicly available information and is offered for informational purposes only.

We do not guarantee the accuracy, completeness, or timeliness of any data provided through the Service. Market data should not be used as the sole basis for making purchasing, selling, or investment decisions.

3. Account Types & Registration

Individual Accounts: Available to private enthusiasts, collectors, and individuals for personal, non-commercial use. You must provide accurate registration information and maintain the security of your credentials.

Dealer Accounts: Designed for licensed automotive dealerships and commercial businesses. Dealer accounts may include multiple authorized user seats. The account holder (business entity) is responsible for all activity under their organization, including employee sub-accounts.

You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

4. Subscription Plans & Billing

Motivyn offers free and paid subscription tiers. Paid plans are billed monthly or annually in advance. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Free Trials: Certain plans may include a free trial period. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan. You may cancel at any time during the trial without charge.

Refund Policy: Subscription fees are non-refundable except where required by applicable law. You may cancel your subscription at any time; access will continue until the end of your current billing period.

Dealer Seat Licenses: Additional user seats purchased under a dealer plan are billed at the per-seat rate associated with your plan tier. Seats may be added at any time; seat reductions take effect at the next billing cycle.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Reproduce, redistribute, sell, or commercially exploit any data obtained from the Service without prior written consent.
• Use automated systems (bots, crawlers, scrapers) to access the Service except through our official API.
• Attempt to gain unauthorized access to any part of the Service or its systems.
• Share your account credentials or allow others to use your account without authorization.
• Interfere with or disrupt the Service or servers connected to the Service.

6. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Motivyn LLC. Our trademarks, service marks, and trade names may not be used without our prior written consent.

The aggregated market data, analytics, reports, and proprietary algorithms used to generate insights are proprietary to Motivyn.

7. Data Accuracy Disclaimer

While we strive to provide accurate and up-to-date information, Motivyn does not warrant or guarantee the accuracy, reliability, or completeness of any data displayed on the platform. Auction results, pricing data, and market analytics are provided "as is" and may contain errors or omissions.

Motivyn is not a licensed appraiser, broker, or financial advisor. Our data should be used as one of many inputs in your decision-making process.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOTIVYN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Motivyn LLC, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
